Key Information to Note

  • Statutory requirement to appoint at least 1 Singapore resident director 

To successfully incorporate a company, you need to appoint at least 1 local resident director. Local residents are Singapore citizens, Singapore Permanent Residents (PR), and Employment Pass holders. If you plan to work overseas and needs a nominee director for compliance purposes, you can avail of our nominee director services from Additional Services section. 

  • Statutory requirement to provide a Registered Office Address

From the date of incorporation, the company must provide a registered office within Singapore where all communications and notices to the company are addressed, and where the company’s registers and records are kept. We offer a registered office address as an additional service in Add-ons Section.

Company Secretary service is complimentary on the first year of incorporation. The succeeding year’s cost is $1,200 per annum. The package also comes with 2 free transactions which are valid within the first year of the company’s incorporation and free use (one-time) of our conference room during your meeting with the bank officer for bank account opening.   • Singapore Company Incorporation 

We will prepare all necessary forms and documents and perform the name reservation and company registration with ACRA Bizfile. The package fee includes the registration fee of S$300 and name application fee of S$15

Our package comes with complimentary company secretary service for the first year of company’s incorporation. Please take note that Companies Act, Sec. 171(1) states that every company must have at least one secretary who is not debarred from acting as secretary.

1. What is the difference between a subsidiary and a branch office?
A subsidiary is a separate entity that is wholly owned (100% ownership) by another company (parent). The parent holds a controlling interest in the subsidiary and it is not required to carry out the same business activities as that of the parent.
 
A foreign branch is an extension of an existing company that operates entirely in another country. This is a part of the company that carries out the same business activities within the market. The branch company has a subordinate relationship with its parent company as it is dependent and cannot function without the latter. 

2. Do I need to be in Singapore to register a new business?
You can register a new business even if you are outside Singapore, however, you need to appoint at least 1 Singapore resident director on board. It is highly recommended to consult a corporate service provider to ensure that you comply with all the statutory and regulatory requirements.

3. Any risk to me if I use nominee director services?
Appointing a nominee director is like giving power to someone, who you may not even know, to control and direct your Company. With the risks involved in appointing a nominee director, it is of great importance to appoint a trusted and reputable person to act as a nominee director. You may also appoint one or more executive directors, not necessarily a resident of Singapore, to manage and operate your Company. 

4. Why does a refundable deposit require in a Nominee Director Services?
To protect the interests of the nominee director, a security deposit is required as there are cases where foreign clients become uncontactable. The security deposit will be used for closure/liquidation charges of the Company if foreign clients become uncontactable.

5. I am an Employment Pass holder. Can I hold more than one directorship?
Eligible companies can appoint Employment Pass holders from another related company to their Board of Directors. The employer must get approval from MOM by applying for a Letter of Consent. If approved, the employer can then proceed to register the directorship position to ACRA.
