Every LLP shall have at least two partners who can be an individual, a local company, a foreign company or another LLP.
Every LLP must have at least one manager who is an locally resident in Singapore, a natural person of full age (i.e. at least 18 years old) and of capacity.

We will prepare all necessary forms and documents and perform the name reservation and LLP registration with ACRA Bizfile. The package fee includes the registration fee of S$100 and name application fee of S$15

  • Provision of Company Secretary

Our package comes with complimentary company secretary service for the first year of LLP’s incorporation. Company Secretary is not mandatory but it is good to have to make sure that someone is keeping track of the statutory and legal requirements of branch office.

1. What is an LLP Agreement and why do I need it if I incorporate an LLP?
The LLP agreement records the matters agreed between the LLP members which cover profit sharing, admission of the new members, management and decision making, retirement and expulsion from the LLP, and entitlement and obligations of outgoing members among other things. An LLP agreement is not required to be submitted to the Registrar.

2. What information do I need to provide if I will be appointed as a partner or manager of an LLP?
- NRIC and full name
- Nationality
- Contact information (telephone number and e-mail address)
- Residential address

3. If I avail a registered office address, does this cover all of my mail?
Yes, the registered office address can be used for Singapore government mails, court documents and all your general mails and parcels for self-collection. Check our different packages for Virtual Office and you can choose the package that suits your needs and budget.

4. What is the difference between a Limited Partnership (LP) from Limited Liability Partnership (LLP)?
LLP is for professionals and consultants who wish to retain the flexibility of a traditional partnership, but require the benefits of a limited liability company. LLP has a separate legal entity from its partner and partners are not to be held personally liable for any business debts incurred by the LLP.

LP is a partnership consisting of a minimum of two partners.  An LP does not have a separate legal entity from the partners, i.e. it cannot sue or be sued or own property in its own name.
5. Do I need a corporate bank account for LLP?
It is not a legal requirement for a Singapore-registered business to have a corporate bank account, however, for accounting and tax purposes, it is best to have one to separate business from personal expenses.
