  • Overview on setting up of Representative Office
    • Foreign commercial entity must fulfill the following criteria:
    • Sales turnover of the foreign entity must be more than US$250,000.
    • Number of years of establishment of the foreign entity must be more than 3 years.
    • Proposed number of staff for RO should be less than 5 people.
  • Statutory requirement to appoint a representative  

The appointed representative must be either staff from the HQ of the parent company or a Singapore employee of the parent company. The main function of the appointed representative is to represent the parent company. Employment Pass must be obtained by foreign expatriates to be able to work in Singapore. We offer application of Employment Pass as an additional service subject to separate costs.

  • Statutory requirement to provide a Registered Office Address

From the date of incorporation, the representative office must provide a registered office within Singapore where all communications and notices to the company are addressed, and where the company’s registers and records are kept. We offer a registered office address as an additional service subject to separate costs.

  • Cost savings when you avail this package

Company secretary service is complimentary on the first year of incorporation to help you keep track of all statutory and legal requirements of RO. The succeeding year’s cost is $750 per annum. The package also comes with 2 free transactions which are valid within the first year of the RO’s incorporation and free use (one-time) of our conference room during your meeting with the bank officer for bank account opening. What is included in the Package for Set Up of Singapore Representative Office

  • Set up of Singapore Representative Office

We will prepare all necessary forms and documents and perform the setup of RO with Enterprise Singapore. The package fee includes the application fee of S$200.

  • Provision of Company Secretary

Our package comes with complimentary company secretary service for the first year of RO’s incorporation. Company Secretary is not mandatory for RO but it is good to have to make sure that someone is keeping track of the statutory and legal requirements of RO.

We arrange an appointment for the opening of bank account with a local bank. You can use our conference room for free (one-time free usage) to meet with the bank officer for account opening.

1. What is a Representative Office?
A representative office (RO) is for foreign entities that are keen to explore opportunities, test the market in Singapore, or promote products or services without doing direct business activities and profit generation.

2. How long an RO can operate in Singapore?
An approved RO of a foreign commercial entity may operate in Singapore for a validity of one year only from its incorporation date. An extension of RO will only be granted on a case-to-case basis and is subjected to approval for up to a maximum of three years.

3. Are audited Accounts required for renewal applications?
No, Audited accounts are not required for renewals but the Authority has the right to request the parent company’s latest Audited Accounts if necessary.

4. Can the RO apply for a name that is different from its parent company?
No. The name of the RO must be the same as the parent company.

5. Who can be appointed as the RO’s authorized representative or staff?
The authorized representative or staff to represent the parent company must be either staff from the HQ of the parent company or a Singapore employee of the parent company.
